PROFILE

James K. Alford has over 25 years of experience assisting U.S. and foreign clients in a cross-section of industries to design and implement U.S. and foreign corporate, financial, production, infrastructure, construction, distribution and sales operations and transactions worldwide, through the planning, formation and operation of U.S. and foreign holding companies, subsidiaries, branches, joint ventures, partnerships, special purpose entities and various forms of teaming, sales and distribution arrangements, and through consolidations and acquisitions.  This includes service as outside general counsel and representation of U.S. and foreign companies, including financial institutions, involved in the development and financing of large-scale overseas turn-key projects and other transactions in the energy, manufacturing, steel, utilities, real estate development, technology, resort and financial services industries.  In the course of these representations, he frequently performs and coordinates the performance of an integrated analysis of all organizational structuring, contract, financing, regulatory and tax issues that affect the venture.

As a complement to this work, Mr. Alford assists clients with trade financing and project financing for transactions in the U.S. and internationally, advising U.S. corporations involved in U.S. and overseas turn-key public and private ventures and projects in the acquisition of feasibility funds, soft loan financing, working capital, equity, structured and leveraged financing, guarantees, letters of credit and documentary collections and other loan enhancements from private commercial sources and Washington-based U.S. and multilateral agencies, including the U.S. Overseas Private Investment Corporation, the International Finance Corporation, Inter-American Development Bank, U.S. Export-Import Bank, the U.S. Agency for International Development and the Multilateral Investment Guaranty Agency.
