PROFILE

Kellie Newton is an experienced business attorney, who provides day-to-day corporate legal counsel to start-ups as well as existing companies. She provides legal advice and services in all areas of corporate law, including mergers and acquisitions, choice of entity, entity creation, operations, corporate governance and dissolution. Kellie negotiates and drafts the full range of corporate documents, including joint venture agreements, license agreements, executive employment contracts, IT purchase, equipment transactions, distributorship agreements, stock purchases and re-purchases, issuance of stock options, non-competition agreements and commercial leases.

Kellie also has extensive experience in forming and representing non-profit corporations, including assisting them with obtaining tax-exempt status. She has extensive experience representing trade associations in all aspects of their business including governance, risk management/insurance, financial and transactional matters and has served as general counsel to such organizations.

Kellie also serves as General Counsel and Secretary to MLA's environmental consulting affiliates, Technology Sciences Group, Inc. (TSG) and Technology Sciences (Europe) Ltd. (TSGE).

Before joining MLA, Kellie was corporate counsel and Assistant Secretary of ChemLawn Services Corporation, where she managed the legal affairs of that company and its subsidiaries, including negotiating and drafting documents for several acquisitions. She also served as senior attorney and assistant secretary of Warner Cable Communications Inc, where she handled several Warner acquisitions.

Kellie is a member of MLA's Ethics and Professional Responsibility Committee, is the Firm's New Matter Intake/Conflicts Partner, and served as a member of MLA's Board of Directors (2002-2003). She currently serves as a Trustee of Dickinson College in Carlisle, Pennsylvania.
