PROFILE

John Ingram focuses on corporate law, communications law and government privatization and has extensive experience in representing communications, biotechnology and other technology companies and regulated businesses as well as government agencies.

John represents entrepreneurs, emerging companies and large private and publicly traded clients in a broad range of general business and corporate transactions. These transactions include joint ventures and strategic alliances, venture capital and private equity finance, mergers and acquisitions, and commercial transactions. His recent experience includes the representation of a NASDAQ-listed company in connection with a merger of equals, several private investments in public equity (PIPE) transactions, loan transactions, and strategic alliances for the development and distribution of its products.

He also practices in the areas of communications law and regulatory affairs for communications providers, governmental regulatory bodies and large commercial consumers. In this regard, he has extensive experience in connection with the negotiation and preparation of communications services and equipment purchase agreements, interconnection agreements, fiber lease agreements, wireless site agreements, and similar commercial agreements, including an agreement for the procurement of a national network for the transmission of video and data communications. John has also previously represented, and continues to represent, telecommunications providers and government regulatory bodies in numerous regulatory matters related to the implementation of the Telecommunications Act of 1996, at both the federal and state level, and related state legislation.

John has also developed significant experience in transactions for biotechnology companies. For example, his experience includes the negotiation of development, human testing, lab testing, manufacturing, distribution and related agreements for companies in the biotechnology industry, including agreements with European companies for the manufacturing of plasmid DNA drug products for gene therapy.

John also has extensive experience in the privatization of government utility systems, military housing projects and other facilities. His role has included the drafting of legislation and requests for proposals and the negotiation of project-related development and financing agreements. John has represented, among others, GMH Military Housing, the City of Atlanta and Fulton County, Georgia. For example, he has worked closely with GMH Military Housing in connection with its development of more than 10,000 privatized military housing units at numerous installations of the United States Army and the United States Navy across the United States.

In recent years, John has also developed significant experience in construction law, including the preparation and negotiation of architectural services, engineering and construction agreements.  This experience includes the representation of various owners and developers in the development, construction or renovation of commercial and educational facilities, single-family housing and multi-unit housing.

John is a member of the M.I.T. Enterprise Forum of Atlanta’s Executive Committee and serves as the Secretary and General Counsel for the Enterprise Forum’s Atlanta Chapter.  The M.I.T. Enterprise Forum of Atlanta is a non profit organization whose mission is to provide educational programs and services that promote and strengthen innovation at the intersection of business and technology in the Southeast.
