Experience

Wayne N. Bradley serves as Chair of the Corporate department. He advises public and private companies in connection with a variety of strategic matters, including mergers, acquisitions, divestitures, joint ventures and strategic alliances. He also works with clients on corporate finance, commercial contracts, commercial lending and internal investigation matters.

Mr. Bradley assists clients in a wide array of industries, including paper and corrugated, aviation and aerospace, telecommunications, manufacturing, retail, automotive and service industries, among others. He has particularly extensive experience representing non-U.S. companies in connection with their U.S. operations and transactions. In addition, Mr. Bradley advises clients in the private equity and venture capital industry.

Mr. Bradley has been consistently ranked by Chambers USA as one of the leading Corporate/M&A lawyers in Georgia and is listed in The Best Lawyers in America in the Corporate Law category. He is also recommended by Legal 500, named a Georgia Super Lawyer by Atlanta Magazine, and recognized as a member of Georgia’s Legal Elite by Georgia Trend Magazine. Mr. Bradley was also named to the BTI Transaction All-Star Team (only 100 M&A lawyers in the United States earned this honor).

Prior to attending law school, Mr. Bradley worked for Russ Berrie & Co., Inc. (NYSE:RUS), where he held several managerial positions.

Mr. Bradley clerked for The Honorable Emmett R. Cox, U.S. Court of Appeals for the Eleventh Circuit and served as Editor-in-Chief of the Emory Law Journal.

Notable Engagements

Hoshizaki America, Inc. - Represented Hoshizaki America, Inc. in connection with its acquisition of Lancer Corporation (AMEX:LAN). Hoshizaki is a leading manufacturer of ice making equipment, and Lancer is a major manufacturer of beverage dispensing equipment.

Habasit Holding AG - Represented Swiss-based Habasit Holding AG, a leading manufacturer of conveyor belts, in its tender offer for Summa Industries (NASDAQ:SUMX). Also represented Habasit in its acquisition of two conveyor belt companies, located in New York and Connecticut.

Pratt Industries - Represented Pratt Industries (U.S.A.), Inc., the largest privately-owned paper and packaging company in the U.S., in the issuance and sale of $112 million of notes for the construction of a paper recycling mill in Shreveport, Louisiana.

Delta Air Lines (NYSE:DAL) - Represented Delta Air Lines in connection with the formation of SkyTeam Cargo USA, a global cargo alliance among Delta, Air France and Korean Airlines. The alliance focuses on cargo being shipped from the United States to locations throughout the world. Also represented Delta in a variety of other matters, including supply agreements, outsourcing agreements, marketing agreements, technology agreements and contract disputes.

Lockheed Martin Corporation (NYSE:LMT) - Represented Lockheed Martin Corporation in connection with the acquisition of Leigh Aerosystems, a maker of wing kits that can be attached to existing "dumb" bombs to increase accuracy and range, and in connection with the structured finance aspects of the sale of F-16s to the Government of Poland for approximately $3.5 billion.

River Capital, Inc. - Represented River Capital, an Atlanta-based private equity fund, in connection with numerous transactions, including the purchase and subsequent sale of Piedmont Holding, Inc. (aviation), the purchase of certain assets of The Tree Factory, Inc. (home décor), the purchase of Tronair, Inc. (aviation), the sale of American Threshold Industries, Inc. (healthcare), the sale of Decor Holdings, Inc. and Decor Gravure Corporation (manufactured homes), and the purchase of Consumer Product Enterprises (consumer crafts).
