Experience
Dudley M. Lang brings 40 years of experience representing individuals, fiduciaries and businesses to tax planning and the resolution of tax controversies. A Certified Specialist in Taxation, Mr. Lang has extensive familiarity with federal, California state and local tax issues, including tax accounting, compensation planning and income tax questions arising from real estate transactions. His practice involves the preparation of ruling requests, protests, opinion letters and disclosure documents, as well as client representation in judicial and administrative tax proceedings.
Mr. Lang is a frequent lecturer at professional seminars and was long-time adjunct professor of tax law at the University of Southern California Law Center. He is known as an authority on Subchapter S corporation taxation and has worked with the American Bar Association to formulate the reforms in the Subchapter S Revision Act (1982) and with the California State Bar in its adoption of the California Subchapter S provisions in 1987. He is highly skilled in solving tax issues surrounding the formation, capitalization, governance and operation of corporations, including buy-sell arrangements, succession plans, stock issues, redemptions, mergers, reorganizations, assets sales and liquidations. Mr. Lang also frequently is asked to provide tax advice to tax-exempt organizations, accounting firms and law firms.
